Gibson, Dunn & Crutcher LLP is pleased to announce that the Asia Pacific Loan Market Association (APLMA) has published a model English Law Term Facility Agreement for Indonesian Offshore Loans, which is available in the Library of APLMA documentation.
Gibson Dunn’s attorneys, together with members of the Indonesian Documentation Steering Committee of the APLMA, worked on drafting the English Law APLMA Model for the Sole Borrower, Sole Guarantor, and Facility Agreement. single currency term for offshore lending in Indonesia (the “APLMA Indonesia model”), to help achieve a degree of consistency among financial institutions that lend in Indonesia and facilitate the growth of the secondary market there.
The APLMA Indonesia model not only sets out the provisions specific to Indonesia that are generally seen in loan documents for Indonesian cross-border transactions, such as those relating to reporting obligations owed to the Bank of Indonesia and Law No. 24 of 2009 on the use of Indonesian Bahasa. , but also includes detailed notes to help model users focus on these key Indonesia issues. An Indonesian Bahasa version of the APLMA Indonesia model will be released shortly.
The APLMA Indonesia Documentation Steering Committee was founded and chaired by Gibson Dunn associate Jamie Thomas, who chairs the committee.
